Purpose This policy ensures that decisions made by FutureBridge Foundation’s trustees, staff and volunteers are made in the best interests of the charity, free from actual or perceived conflicts of interest.
What is a conflict of interest? A conflict of interest arises where a trustee, staff member or volunteer’s personal interests, or the interests of a connected person or organisation, could influence or appear to influence a decision made on behalf of the charity.
Declaring an interest Trustees and staff are required to declare any relevant interests when they arise, and these are recorded in a register of interests, reviewed regularly by the Board.
Managing a conflict Where a conflict is declared, the individual concerned will withdraw from the relevant discussion and decision, and will not vote or count towards the quorum on that matter, in line with the Foundation’s governing document.
Related-party transactions Any transaction or arrangement between the charity and a trustee, staff member, volunteer, or connected person must be declared and approved in line with Charity Commission guidance.
Breach of policy Failure to declare a relevant interest may be treated as a breach of trustee or staff duties and addressed accordingly.
Review This policy is reviewed at least annually by the Board of Trustees.
